Payment Processing Agreement

Effective date: August 4, 2026. Version 1.0.

This Payment Processing Agreement (the “Agreement”) is an agreement between the Platform and the Merchant, as defined below. It applies to your shop only if your shop enrolls in the Processing Services. If your shop never enrolls, nothing in this Agreement applies to you, and online payments (if you use them) work as described in Section 7 of the Terms of Service.

In this Agreement: “Platform” means Surepath Transport INC, a North Carolina corporation, the maker of the Diesel Genie software (the same “Diesel Genie,” “we,” and “us” as in the Terms of Service). “Merchant” means the business that holds the Diesel Genie account and enrolls in the Processing Services (the same “Shop” and “you” as in the Terms of Service). “Processing Services” means the credit card, debit card, and ACH bank transfer payment acceptance and settlement services made available inside Diesel Genie through our payment processing partner, Rainforest Pay (“Rainforest”), and Rainforest’s sponsor bank.

You accept this Agreement when your shop’s administrator agrees to it inside Diesel Genie while turning on the Processing Services, when you ask us to enroll your shop in the Processing Services, or when your shop first uses the Processing Services, whichever happens first. We keep a record of your shop’s acceptance: who accepted, when, and the version of this Agreement they accepted.

A1. The Processing Services

The Processing Services let your shop accept credit card, debit card, and ACH bank transfer payments from your customers on the invoices your shop sends through Diesel Genie. The payment fields are provided by Rainforest’s technology embedded in the service, so card numbers and bank details go directly to Rainforest and never touch our servers. The Processing Services are available only to shops in the United States, and your shop must be approved by Rainforest and its sponsor bank (a process called underwriting) before its first payment.

A2. The processor’s terms

By using the Processing Services, Merchant agrees to the Processing Terms and Conditions available at https://legal.rainforestpay.com/processingterms, which may be amended at any time on notice. The Processing Terms and Conditions are a direct agreement between your shop, Rainforest, and Rainforest’s sponsor bank.

Rainforest may deliver notices about the Processing Terms and Conditions, including amendments, to us for distribution to you. We make reasonable efforts to forward every such notice to your account email promptly, and a notice takes effect as the Processing Terms and Conditions provide whether or not it reaches you or you read it. Continuing to use the Processing Services after an amendment takes effect means your shop has accepted it.

If this Agreement or the Terms of Service conflicts with the Processing Terms and Conditions on a matter of payment processing, the Processing Terms and Conditions control.

A3. Fees for the Processing Services

The fees below apply to the Processing Services. They are deducted from your shop’s settlements (money on its way to your shop’s bank account) or, where a deduction is not possible, billed to your shop. These are the Platform’s standard rates: they apply unless a different rate is agreed with your shop in writing.

We may change these standard fees with at least 30 days notice by email or in the app, the same way Section 3 of the Terms of Service works for subscription pricing; a rate agreed with your shop in writing stays as agreed. Card networks, the processor, and its sponsor bank may separately charge amounts that are theirs, not ours (for example a fine for violating card network rules), and taxes are added where the law requires.

A4. Who can enroll

The Processing Services are available only to shops with an active, paid Diesel Genie subscription, and never during a free trial. Enrollment requires accurate, current information about your business and its owners for underwriting, your shop’s correct federal tax identity (legal name and EIN) for tax reporting, and a valid United States bank account. Tax forms related to your shop’s payment volume (such as the 1099-K) are prepared and filed through the processor using the information you provide, so keeping that information accurate is your shop’s responsibility.

A5. What cannot be sold through the Processing Services

The Processing Services may be used only to collect payments genuinely owed to your shop for goods and services your shop actually provides. Rainforest’s list of prohibited businesses and activities, available at https://legal.rainforestpay.com/prohibited, applies to your shop. In addition, the following may never be sold or collected through the Processing Services: extended warranties or extended warranty contracts; payments collected more than one year before the goods or services are delivered (for example a multi-year prepaid maintenance contract); and lifetime deals of any kind. We or the processor may decline, hold, or reverse a payment, and may suspend the Processing Services, where a payment appears to violate this section or the law.

A6. How the money moves

Payments move from your customer through Rainforest and its sponsor bank directly to your shop’s bank account. Diesel Genie never receives, holds, or controls the money at any point, and we are not a bank, a money transmitter, or a party to the payment.

Settlement timing, deposit schedules, holds, reserves, underwriting decisions, and account reviews belong to Rainforest and its sponsor bank, not to us. We never promise when money will arrive, and nothing in the app or said by our team overrides the processor’s decisions. Under the Processing Terms and Conditions, the sponsor bank also takes a security interest (a lien) in the bank account that receives your settlements. If your shop has loans with blanket liens, such as SBA or equipment loans, mention this to your banker; many shops use a dedicated bank account for card settlements for exactly this reason.

A7. Chargebacks, disputes, and the 30-day review window

Your shop is responsible for chargebacks, disputes, ACH returns, and reversals on its payments, including the disputed amount and the fee in the table above. These amounts may be deducted from your shop’s settlements or billed to your shop. We pass along dispute records and help you respond, but the card networks and the banks decide disputes, not us.

Review your deposits and fees at least monthly. Under the Processing Terms and Conditions, a processing problem must be reported in writing within 30 days of when it happened, or the right to dispute it is permanently waived. The window runs from when the problem occurred, not from when you noticed it. Report anything that looks wrong to sales@dieselgenie.com right away, and we will use reasonable efforts to raise it with the processor promptly.

A8. Information sharing and fraud prevention

By enrolling, your shop authorizes us to collect and share with Rainforest, its sponsor bank, and their service providers the information needed to provide the Processing Services: business, owner, and bank details for underwriting, and transaction, customer, and payment data for processing, fraud prevention, compliance, and support. Your shop also authorizes us to receive and export that data back from the processor for reporting, reconciliation, and record keeping.

The embedded payment technology includes fraud prevention that collects device information and behavioral signals (sometimes called behavioral biometrics, for example typing and interaction patterns) from the person making a payment. Our Privacy Policy describes this too. If your shop publishes its own privacy notice, it should be consistent with these disclosures.

A9. Support and information requests

We are your shop’s contact for the Processing Services: questions, dispute help, and problems all go to sales@dieselgenie.com, because Rainforest does not take calls from shops or from your customers. In return, your shop agrees to respond promptly, within 2 business days, when we reasonably request information the processor requires, for example underwriting documents, proof that a service was delivered, or records for a dispute or for an audit of terms acceptance. Slow or missing answers can lead the processor to hold settlements or suspend the Processing Services.

A10. Suspending or ending the Processing Services

We or the processor may suspend or end your shop’s Processing Services where the processor or its sponsor bank requires it, for risk or compliance reasons, for a material breach of this Agreement, or when your subscription ends or lapses. The Processing Services end automatically when your Diesel Genie subscription ends. Ending the Processing Services does not end the Terms of Service, and your shop’s obligations for payments already processed, including chargebacks, returns, and fees, survive. We will tell you why the Processing Services were suspended or ended unless the processor or the law does not allow us to.

A11. How this Agreement fits with the Terms of Service

This Agreement supplements the Diesel Genie Terms of Service at app.dieselgenie.com/terms and incorporates them by reference; together they are one contract. Everything in the Terms that is not specific to Stripe applies to the Processing Services too, including Section 10 (disclaimer of warranties), Section 11 (limit on liability), Section 12 (indemnification), and Section 15 (governing law and general provisions). For a shop enrolled in the Processing Services, this Agreement replaces Section 7 of the Terms for online payments. Section 11’s liability limit applies to the Processing Services exactly as it applies to the rest of the service.
